Management Due Diligence to Enable Scalable Growth
CLIENT: A Private Equity-Backed Industrial Parts and Services Company
OVERVIEW
A private equity investor planned to acquire a successful industrial parts and services distributor primed for growth and engaged Summit Leadership Partners to assess whether the leadership team and organization were equipped to scale under new ownership. The business had expanded rapidly through more than 10 acquisitions, creating integration challenges and operational inefficiencies. With succession gaps across critical executive roles, including CEO, CIO, Presidents, and CHRO, and a planned mid-hold CEO transition during a pivotal phase of growth and integration, the investor needed a clear view of leadership strength, continuity risk, and the organizational changes required to support value creation. Additional strategic moves under consideration, including divesting a noncore division and accelerating M&A, added urgency and increased the potential for a shortened hold period.
CHALLENGE
The company’s growth trajectory was strong, but rapid expansion through more than 10 acquisitions had created integration challenges, operational inefficiencies, and strain across the leadership team. Succession gaps in several critical positions, including CEO, CIO, Presidents, and CHRO, raised concerns about leadership continuity and the organization’s ability to scale effectively. A planned mid-hold CEO transition added urgency at a pivotal point in the company’s evolution. At the same time, the sponsor was preparing to divest a noncore division and accelerate M&A activity, increasing the need for a leadership team and organizational structure that could adapt quickly and execute with consistency through change.
ACTIONS
Summit conducted management due diligence and an organizational assessment to evaluate leadership readiness against the investment thesis and the team’s ability to quickly shift direction under the new private equity sponsor. The work examined the organizational structure and management capabilities needed to support both the existing business and future M&A activity, while identifying succession and leadership risks that could hinder scalability. Summit delivered actionable recommendations on leadership roles, succession moves, organizational changes, and change readiness, helping the sponsor and management team clarify the decisions needed to move forward. The process also helped catalyze a shift toward a leaner structure, stronger accountability, and a more performance-oriented operating model.
OUTCOME
The engagement gave the investor and management team a clear view of the key leaders and roles needed to lead both the new company and the divested business. It established a roadmap for aligning leadership capabilities with strategic growth priorities, increased the executive team’s readiness to partner effectively with the sponsor, and strengthened organizational focus on performance, accountability, and operational excellence. Ultimately, the work supported value creation that contributed to a 3x return and an accelerated exit in under 18 months.
