From M&A Roll-Up to Scaled Enterprise
Client: A private equity-backed industrial services platform
OVERVIEW
After completing nearly 30 acquisitions in just over two years, a private equity-backed industrial services platform had become the largest player in a fragmented national market. With new ownership, an ambitious value creation plan, and another wave of acquisitions ahead, the business needed to evolve from a successful collection of local field operators into a more integrated enterprise built for scale. The company’s next transaction was expected to be either an IPO or a sale to a larger private equity buyer.
Summit Leadership Partners was engaged to assess whether the company’s structure, operating model, and leadership capabilities could support its next chapter and to design the organization required to unlock continued growth.
CHALLENGE
The company’s acquisition engine was working, but the organizational structure had not kept pace. Rapid deal activity had created a decentralized operating model, with branches retaining significant autonomy while accountabilities and decision rights across corporate, regional, and branch leadership remained unclear. The regional layer, which would be critical to the company’s future scale, had not yet evolved into an integrated source of accountability, coordination, and enterprise performance capable of supporting continued M&A. In short, the organization was not yet built for the next stage of growth.
The challenge was to create a scalable structure and operating model without losing the entrepreneurial culture that had fueled the company’s success. Strengthening P&L leadership in key roles would be critical to making that shift. At the same time, the company needed a more repeatable approach to integrating three to four new acquisitions each year and capturing greater value after close.
ACTIONS
Summit began with a comprehensive organization assessment anchored in the company’s value creation plan. Through leadership interviews, organizational data, employee input, and executive assessments, Summit identified the structural, talent, and operating model gaps that could limit future growth, along with the strengths the company needed to preserve.
Working closely with the CEO and investment team, Summit designed a scalable future-state organization spanning corporate, regional, and branch levels. The work clarified the purpose of each layer, strengthened governance and decision rights, defined the leadership capabilities required for the next phase of growth, and assessed key leaders against those future-state requirements. Summit also identified critical roles and capability gaps, developed role profiles to guide development, succession, and external hiring decisions, and created a phased roadmap for implementation. In parallel, Summit recommended ways to strengthen the operating model, improve post-close integration, and reduce dependency on C-suite leaders.
OUTCOME
The engagement gave the CEO and investment team a clear blueprint for evolving from a collection of successful local businesses into an integrated, scalable enterprise.
The future-state model clarified leadership roles, strengthened the regional layer, and aligned talent and organization design to the company’s value creation plan. It led to talent upgrades, expanded responsibilities for key leaders, and a clearer operating model with well-defined decision rights. Designed to support continued M&A, strengthen exit readiness, and enable the company’s next stage of growth, the organization is now better equipped to integrate future acquisitions, capture greater value after close, and operate with the discipline of a scaled national enterprise.
